Welcome to Santos Financial Strategy. These Terms of Service ("Terms") govern your use of our website, software systems, and operational consulting services (collectively, the "Services"). By accessing our site, purchasing a subscription, or using our software, you ("Client", "You") agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Nature of Services
Santos Financial Strategy provides a hybrid of B2B digital operations software (Customer Relationship Management, automated communications, digital scheduling) and financial/operations consulting. We are not a traditional IT company, nor are we a certified public accounting (CPA) firm or a law firm.
- Operations Software: Provided via a white-labeled third-party software infrastructure.
- Financial Consulting: Educational and strategic planning intended to improve business operations and cash flow. We do not provide certified tax, legal, or investment advice.
2. Client Responsibilities & Compliance
By utilizing our Services, you agree to the following operational responsibilities:
- Service Fulfillment: You are strictly responsible for fulfilling your core business services. Santos Financial Strategy holds no liability for the quality of your physical work or employee negligence.
- TCPA & Anti-Spam Compliance: You are legally responsible for ensuring compliance with the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
- A2P 10DLC Registration: You agree to provide accurate Legal Business Information (EIN, Official Business Name) during onboarding.
3. Billing, Telecom Re-billing, & Payments
- Subscription Fees: Billed on a month-to-month basis. Payments are processed securely via third-party processors.
- Telecom Usage & Auto-Recharge: Subscription includes a complimentary $10.00 credit. If the balance drops below $10.00, your account will automatically trigger a $50.00 recharge to the payment method on file.
- Non-Payment: A 7-day grace period is provided for failed payments before service suspension.
4. What is Not Included
Santos Financial Strategy does not provide:
- Physical hardware (e.g., iPads, computers, mobile phones).
- IT support for local internet, printers, or proprietary diagnostic scanners.
- Guarantees of specific revenue increases or vehicle repair volume.
5. Third-Party Infrastructure & Uptime
While we strive for 99.9% uptime, we are not liable for temporary server outages, carrier filtering, or internet service failures outside of our direct control.
6. Limitation of Liability
To the maximum extent permitted by law, Santos Financial Strategy shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Services.
In no event shall our total liability exceed the total amount paid by you to Santos Financial Strategy in the three (3) months preceding the event giving rise to the claim.
7. Term, Cancellation, & Data Export
- Term: Services are provided month-to-month.
- Cancellation: Either party may cancel at any time with a 30-day written notice.
- Offboarding: Upon cancellation, Client loses access to CRM and phone numbers. Clients may request a .CSV export of their contact list prior to account deletion.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New Jersey, United States.
9. Changes to Terms
We reserve the right to modify these Terms. Material revisions will include 30 days' notice where possible.
